End-User License Agreement

This Agreement governs use of the QuickBooks Online integration ("the App") made available by Copper & Cloud ("we", "us").

1. Private, single-tenant use

The App is private software used solely by Copper & Cloud to access our own QuickBooks Online company data. It is not distributed, licensed, sold, or offered to the public, and no third-party end users are onboarded. This Agreement exists to satisfy Intuit's app-profile requirements and to state the terms under which authorised personnel of Copper & Cloud use the App.

2. Licence

Subject to this Agreement, authorised personnel of Copper & Cloud are granted a non-exclusive, non-transferable, revocable licence to use the App for internal business purposes only.

3. Restrictions

You may not: use the App to access any QuickBooks company you are not authorised to access; sublicense, distribute, or make the App available to third parties; or use the App in violation of Intuit's Developer Terms of Service or applicable law.

4. Third-party services

The App depends on Intuit's QuickBooks Online API and on Anthropic's Claude services. Use of those services is governed by their respective terms. We are not responsible for their availability, changes, or discontinuation.

5. Data

Handling of data accessed through the App is described in our Privacy Policy at ./privacy.html.

6. No warranty

The App is provided "as is", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The App can create, modify, and delete records in live accounting data; users are responsible for reviewing its actions and for maintaining backups.

7. Limitation of liability

To the maximum extent permitted by law, Copper & Cloud shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or business, arising out of or relating to use of the App.

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded, restricted, or modified.

8. Termination

We may terminate or suspend the App at any time. Access may be revoked from the QuickBooks company's connected-apps settings at any time.

9. Governing law

This Agreement is governed by the laws of Australia.
